Q: Urgent Question on Contradictory Legal Terms - We need immediate legal clarity.
On AppSumo, we concluded the contract under these clear conditions (also on our invoice):

"Get lifetime access to Yapper."
"All future... plan updates."
"If the plan name... changes, it will automatically transfer..."

Your terms and conditions directly and arbitrarily deprive us of these contractually granted rights through clauses that allow you to:
1. Deny All Promised Updates: "Lifetime access does not entitle you to access future versions/upgraded features."
2. Abandon Us During a Company Sale: The new owner is "not obligated to honor lifetime plans."
3. Terminate Our Access at Will & Without a Refund: "...reserves the right to... terminate access entirely... In such cases, no refunds will be provided."
Which contract is legally valid for us: the AppSumo agreement with guaranteed rights, or your T&Cs that nullify them?

We added these as legal protections to make sure Yapper could continue to operate for our users under extreme circumstances. However, they seemed much more extreme then we intended and recognize how they might be off putting to deal holders.
We've since removed this language from our terms. You can go to our terms & conditions to verify.

Before writing this message, I naturally double-checked the Terms of Service (ToS) of numerous other software companies from which I hold LTDs. Not a single one contains clauses that are as extremely one-sided and hostile to customers as yours.
Your ToS do not protect you against "extremely rare scenarios."

specific contractual agreements take precedence over contradictory standard terms that unreasonably disadvantage the customer.
Your ToS do exactly that. Therefore, they are not only "non-standard" but most likely legally unenforceable.
If you do not deem it necessary to make your ToS fair, I—and likely many other buyers—will withdraw our purchase.

I think this product has incredible potential, and it's truly one of the best offer I've come across in the arena of ai video creation—even if it were priced at $29–49/month after the LTD, it would still be worth it. It would be deeply disappointing if the founder were to abandon it later, especially aftr so many loyal users have put their trust & hope into it.
